To the full extent permissible by law, JCWIN AUTO disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
In no event shall JCWIN AUTO, its directors, officers, employees, affiliates, agents, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of vehicle function, cargo damage, installation or re-installation costs, lost profits, or personal property damage, arising from the use of our products or Site.
JCWIN AUTO's total aggregate liability for any claim shall not exceed the actual purchase price paid by you for the specific product giving rise to such claim, to the extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless JCWIN AUTO and its officers, directors, and employees from any claims, liabilities, damages, costs, or attorney's fees resulting from your violation of these Terms, misuse of Products, or improper vehicle installation, to the extent permitted by applicable law.
Force Majeure
JCWIN AUTO shall not be liable for failure or delay in fulfilling performance obligations when caused by events beyond its reasonable control, including natural disasters, weather extremes, acts of war, port congestion, supply chain shortages, labor strikes, or governmental restrictions.
Dispute Resolution, Governing Law & Class Waiver
Governing Law
These Terms and any dispute arising from your interaction with JCWIN AUTO shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles, except where applicable law provides otherwise.
Mandatory Informal Resolution
Before initiating formal legal proceedings, you and JCWIN AUTO agree to attempt informal dispute resolution in good faith for at least sixty (60) days following written notice of the dispute.
Binding Arbitration & Class Action Waiver
Any unresolved controversy, claim, or dispute shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Commercial Arbitration Rules, except where applicable law provides otherwise.
You and JCWIN AUTO agree that all claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, to the extent such waiver is enforceable under applicable law.
Statute of Limitations
You agree that any cause of action arising out of or related to JCWIN AUTO must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred, to the extent permitted by applicable law.
