1. AGREEMENT TO TERMS & DEFINITIONS

These Terms of Service (“Terms”) govern your access to and use of the JCWIN AUTO website, including all webpages, features, content, online storefront services, customer support services, order processing, and product purchases.

By visiting our website and/or purchasing something from us, you engage in our “Service” and agree to be bound by these Terms, including any additional terms, conditions, policies, and notices referenced herein or made available through hyperlinks.

These Terms apply to all users of the website, including browsers, vendors, customers, merchants, account holders, and contributors of content.

Key Definitions

“Products” means all products and merchandise offered for sale by JCWIN AUTO, including truck bed covers, tonneau covers, rack systems, off-road accessories, wheels, tires, LED products, hardware, replacement components, and related automotive goods.

“Services” means the JCWIN AUTO online storefront, website functionality, customer support, account services, order processing, and other services made available through our website.

“Content” means text, graphics, logos, images, photographs, product descriptions, videos, media, software, compilations, trademarks, and other materials displayed or made available through the website that are owned by or licensed to JCWIN AUTO or its suppliers.

2. ONLINE STORE TERMS & ELIGIBILITY

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and have given us permission to allow any minor dependents under your supervision to use this website.

You may not use our Products or Services for any illegal or unauthorized purpose, nor may you violate any applicable laws or regulations while using the website or our Services.

You must not transmit worms, viruses, malware, malicious code, or any other code of a destructive nature.

A breach or violation of any of these Terms may result in immediate termination or restriction of your access to our Services.

3. ORDER ACCEPTANCE, PRICING & CONTRACT FORMATION

3.1 Order Submission

Your submission of an order through the JCWIN AUTO website constitutes an offer to purchase the Products identified in your order.

An order confirmation email acknowledges receipt of your order request but does not necessarily constitute final acceptance of the order or formation of a binding purchase contract.

A binding purchase contract is formed when JCWIN AUTO accepts and fulfills your order and the Product is shipped, unless otherwise required by applicable law.

3.2 Pricing Errors & Order Cancellation

JCWIN AUTO strives to maintain accurate product descriptions, inventory information, specifications, and pricing. However, technical, typographical, inventory, or human errors may occasionally occur.

We reserve the right, in our discretion and to the extent permitted by law, to:

Correct pricing or product information errors;
Modify product availability;
Limit purchase quantities;
Cancel orders resulting from pricing, inventory, product, or system errors; or
Refuse or cancel an order where circumstances reasonably justify doing so.

If an order is canceled and payment has already been processed, JCWIN AUTO will issue a refund to the original payment method for the amount charged for the canceled order, subject to applicable law.

3.3 Electronic Communications

By visiting our website, creating an account, placing an order, or communicating with JCWIN AUTO electronically, you consent to receive electronic communications from us.

You agree that notices, disclosures, confirmations, agreements, and other communications provided electronically satisfy applicable legal requirements that such communications be in writing, to the extent permitted by law.

We reserve the right to refuse service, cancel transactions, or restrict access to our Services to anyone for legitimate business reasons and to the extent permitted by applicable law.

You understand that information or content you submit to us, excluding payment card information, may be transferred unencrypted and may involve:

(a) transmissions across various networks; and
(b) changes required to conform to technical requirements of connecting networks or devices.

Payment card information is encrypted during transmission using appropriate security technology.

You agree not to reproduce, duplicate, copy, sell, resell, exploit, or commercially misuse any portion of the Service, access to the Service, or any contact through which the Service is provided without our express written permission.

The headings used in these Terms are provided for convenience only and do not limit or otherwise affect the meaning of these Terms.

5. ACCURACY, COMPLETENESS & TIMELINESS OF INFORMATION

We do not guarantee that information provided on our website is always accurate, complete, or current.

Information on the website is provided for general informational purposes and should not be relied upon as the sole basis for making decisions without consulting more accurate, complete, or current sources where appropriate.

Any reliance on information provided on the website is at your own risk.

Our website may contain historical information. Historical information may not be current and is provided for reference purposes only.

We reserve the right to modify website content at any time but are not obligated to update information.

6. PRODUCTS, PRODUCT INFORMATION & FITMENT

Certain Products may be available exclusively through our website and may be available in limited quantities.

We make reasonable efforts to display product images, colors, dimensions, descriptions, and specifications as accurately as possible. However, display characteristics may vary depending on your device, monitor, browser, lighting, photography, manufacturing variations, or other factors.

JCWIN AUTO does not guarantee that your device's display of any color will accurately represent the actual Product.

Product descriptions, specifications, pricing, availability, and other information may change without notice.

We reserve the right to discontinue any Product at any time.

Fitment Responsibility

Customers are solely responsible for confirming Product compatibility with their specific vehicle before purchase.

This includes, where applicable:

Vehicle year;
Make and model;
Bed length;
Cab configuration;
Existing accessories;
Aftermarket modifications;
Bed liners;
Utility rails;
Bed bars;
Racks;
Mounting systems; and
Other modifications that may affect installation or compatibility.

JCWIN AUTO is not responsible for fitment issues resulting from inaccurate customer-provided information, aftermarket modifications, customized vehicles, or failure to verify compatibility before purchase.

Any fitment information provided on the website is intended as a general reference and should be independently verified before purchase and installation.

7. MODIFICATIONS TO SERVICES & PRICES

Prices for Products are subject to change without notice.

We reserve the right to modify, suspend, or discontinue the Service, or any portion of the Service or its content, at any time without notice.

JCWIN AUTO shall not be liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service, except where liability cannot legally be excluded.

8. PROMOTIONAL & PEAK SEASON TERMS

Special terms may apply during high-volume promotional events, holiday periods, clearance events, flash sales, Black Friday promotions, Thanksgiving promotions, and other designated sales events.

8.1 Promotional Windows

Promotional pricing and discount codes are valid only during the designated promotional period.

Purchases made before or after a promotional period are not automatically eligible for retroactive price adjustments, credits, or price matching.

8.2 Promotional Items

Products specifically designated as Clearance, Scratch & Dent, or B-Stock are considered Final Sale and non-returnable, except where applicable law requires otherwise or where the Product has a verified manufacturer defect or verified transit damage reported within the applicable reporting period.

Standard promotional Products remain subject to our applicable return policy unless otherwise expressly stated at the time of purchase.

8.3 Promotional Order Limits

JCWIN AUTO reserves the right to decline or cancel multiple orders for the same Product by the same customer, account, household, or other related purchaser during promotional events where the orders appear intended to exploit promotional pricing or engage in unauthorized resale.

8.4 Promotional Exclusions

Promotional discounts generally cannot be combined with trade pricing, wholesale pricing, contract pricing, or other discount codes unless expressly stated otherwise.

Pricing and availability may vary between the JCWIN AUTO website, authorized distributors, marketplaces, and other sales channels.

9. SHIPPING, FREIGHT REQUIREMENTS & RISK OF LOSS

9.1 General Shipping

Estimated shipping and delivery dates provided at checkout or elsewhere on the website are estimates only and are not guaranteed.

JCWIN AUTO is not responsible for carrier delays caused by circumstances beyond our reasonable control, including severe weather, carrier disruptions, transportation delays, supply chain interruptions, labor disruptions, governmental restrictions, natural disasters, or other force majeure events.

To the extent permitted by applicable law, title and risk of loss pass to the Customer upon physical delivery of the Products by the shipping carrier.

9.2 Oversized Freight & LTL Deliveries

For oversized or heavy shipments, including certain rigid tonneau covers, rack systems, pallets, and commercial freight, carrier delivery procedures may require advance coordination.

Customers must provide a valid and reachable telephone number and respond to carrier communications in a timely manner after receiving shipment notification.

If a Customer fails to provide accurate contact information or fails to respond to carrier delivery communications, resulting in delivery delays, missed appointments, storage charges, re-delivery charges, or return freight costs, such charges may be billed to the Customer or deducted from an applicable refund or credit to the extent permitted by law.

9.3 Inspection of Shipments

Customers should inspect shipments promptly upon delivery.

Any visible shipping damage should be documented with photographs and reported to JCWIN AUTO as soon as reasonably possible and within the applicable damage-reporting period stated in our Return Policy.

10. INTERNATIONAL ORDERS

For shipments outside the United States, the Customer is responsible for all applicable customs duties, import tariffs, brokerage fees, VAT, taxes, and other charges imposed by the destination country.

The Customer is also responsible for complying with applicable local import laws and regulations.

JCWIN AUTO is not responsible for delays, additional costs, customs seizures, refused shipments, or other consequences resulting from the Customer's failure to comply with applicable import requirements.

11. RETURNS, REFUNDS & RESTOCKING POLICY

This section governs standard retail returns and refunds.

Unless otherwise stated for a specific Product or required by applicable law, the following general return terms apply:

11.1 Standard 30-Day Return Window

Standard Products may be returned within thirty (30) days of delivery provided that they are:

Unused;
In original and resalable condition;
Returned with original packaging;
Returned with all applicable hardware;
Returned with manuals and accessories; and
Otherwise eligible under this Return Policy.

All returns require an official Return Merchandise Authorization (“RMA”) number.

Customers must contact JCWIN AUTO customer support to request an RMA before shipping a Product back.

RMA instructions will be provided by email after the return request has been reviewed.

Returned Products must be received by JCWIN AUTO within the applicable return period specified in the RMA instructions. Returns received outside the authorized return period may be refused or may qualify only for store credit, where permitted by applicable law.

11.2 Restocking Fees & Fitment Responsibility

For returns that are not caused by a JCWIN AUTO error, including buyer's remorse, ordering an incorrect model, or fitment incompatibility resulting from customer circumstances, a 30% restocking fee of the Product purchase price may apply.

Original shipping charges are non-refundable unless otherwise required by law or the return is caused by an error attributable to JCWIN AUTO.

Customers are responsible for verifying Product compatibility before placing an order.

11.3 Packaging Requirements

Products, particularly truck bed covers, tonneau panels, rack systems, and other large or fragile Products, must be returned securely using the original packaging whenever reasonably possible.

Protective foam, corner guards, inserts, and other original packaging materials should be retained until the Customer has confirmed that the Product will not be returned.

Products returned without adequate packaging, or Products damaged during return shipping because of insufficient Customer packaging, may be subject to additional deductions, increased restocking charges, denial of a refund, or other remedies permitted by law.

11.4 Defective or Shipping-Damaged Products

Customers must report suspected shipping damage or Product defects promptly after delivery.

For shipping damage or defects subject to the 48-hour reporting period, Customers should provide photographs and a description of the issue when contacting JCWIN AUTO.

Where the issue is verified as qualifying shipping damage or a covered Product defect, JCWIN AUTO may provide appropriate remedies, including replacement parts, replacement Products, repair, refund, or other available remedies, subject to applicable warranty and return terms.

11.5 Refund Processing

After an eligible returned Product is received and inspected, refunds are generally processed within 5 to 10 business days.

Processing times may be longer during periods of high return volume.

Refunds are generally issued to the original payment method.

Where a restocking fee or other permitted deduction applies, JCWIN AUTO may provide the Customer with the applicable refund calculation before processing the final refund.

12. LIMITED WARRANTY & WARRANTY CLAIMS

Certain JCWIN AUTO Products may be covered by limited manufacturer or Product-specific warranties.

Warranty coverage, duration, exclusions, and remedies may vary by Product.

Customers should review the applicable Product warranty documentation.

12.1 Warranty Remedies

For an approved warranty claim, JCWIN AUTO or the applicable manufacturer may, at its discretion and subject to the applicable warranty:

Supply replacement components;
Repair the defective component;
Replace an individual component; or
Provide another remedy permitted under the applicable warranty.

A complete Product replacement will generally be considered only when the Product cannot reasonably be restored through component replacement or repair, subject to the applicable warranty terms.

12.2 Warranty Duration

Repairing or replacing an individual component does not automatically restart, extend, or renew the original warranty period unless the applicable written warranty expressly states otherwise.

Warranty coverage is generally calculated from the original retail purchase date.

12.3 Warranty Exclusions

Warranty coverage may exclude damage resulting from:

Normal wear and tear;
Improper assembly or installation;
Failure to follow installation or mounting instructions;
Vehicle accidents;
Off-road collisions;
Severe weather;
Unauthorized modifications or alterations;
Exceeding established load or weight limits;
Misuse or abuse;
Improper maintenance; or
Cosmetic imperfections that do not impair structural functionality.

Unless expressly covered by a written warranty, JCWIN AUTO does not assume responsibility for labor charges, shop fees, diagnostic fees, removal costs, reinstallation costs, installation expenses, or fees charged by third-party service providers.

12.4 Returns vs. Warranty Claims

The standard return policy applies to eligible Product returns within the applicable return period.

After the standard return period has expired, Product defects or component performance claims are generally governed by the applicable warranty rather than the standard return policy.

Unless otherwise required by applicable law or expressly provided under a Product-specific warranty, warranty remedies do not automatically include full refunds or complete Product exchanges after the standard return period.

13. USER ACCOUNTS

If you create an account with JCWIN AUTO, you are responsible for maintaining the confidentiality of your account credentials and for restricting unauthorized access to your account and devices.

You agree to accept responsibility for activities conducted through your account.

You must provide accurate, complete, and current account information.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

14. ACCURACY OF BILLING & ACCOUNT INFORMATION

We reserve the right to refuse or cancel any order.

We may, in our discretion and subject to applicable law, limit or cancel quantities purchased per person, household, account, payment method, billing address, shipping address, or order.

These restrictions may include orders placed using the same customer account, credit card, billing address, shipping address, or other information indicating related transactions.

If we change or cancel an order, we may attempt to notify you using the email address, billing address, telephone number, or other contact information provided when the order was placed.

We reserve the right to limit or prohibit orders that appear to have been placed by dealers, resellers, distributors, or other parties purchasing Products in violation of applicable sales restrictions.

You agree to provide current, complete, and accurate purchase and account information.

You agree to promptly update your account information, including your email address, billing information, and payment information, so that we can complete transactions and contact you when necessary.

15. OPTIONAL TOOLS & THIRD-PARTY SERVICES

We may provide access to third-party tools or services over which we do not have control or monitoring authority.

You acknowledge and agree that such tools and services may be provided on an “as is” and “as available” basis without warranties, representations, or conditions of any kind, except where otherwise required by law.

Your use of third-party tools is at your own risk and discretion.

You should review and understand the terms applicable to any third-party service before using it.

Any new services, tools, features, or resources added to our website in the future will also be subject to these Terms unless otherwise stated.

Our website may contain links to third-party websites, products, or services.

Third-party websites are not necessarily affiliated with JCWIN AUTO.

We are not responsible for examining, evaluating, or guaranteeing the content, accuracy, availability, security, policies, or practices of third-party websites.

JCWIN AUTO will not be responsible for losses or damages arising from transactions, purchases, services, resources, or content obtained through third-party websites, except where liability cannot legally be excluded.

Customers should review the applicable third-party terms and policies before engaging in transactions with third parties.

Complaints or questions concerning third-party products or services should be directed to the applicable third party.

17. USER COMMENTS, REVIEWS, FEEDBACK & SUBMISSIONS

If you submit reviews, comments, photographs, suggestions, ideas, proposals, plans, or other materials to JCWIN AUTO, whether requested or unsolicited (“User Content”), you agree that we may, to the extent permitted by law, edit, reproduce, publish, distribute, translate, display, and otherwise use that User Content in connection with our business.

You represent that your User Content does not violate the rights of any third party, including copyright, trademark, privacy, publicity, personality, or proprietary rights.

You agree not to submit unlawful, abusive, defamatory, obscene, misleading, fraudulent, threatening, or malicious content or content containing viruses or other harmful code.

You must not use a false email address, impersonate another person, or otherwise mislead JCWIN AUTO or third parties about the origin of User Content.

You remain responsible for the User Content you submit.

JCWIN AUTO may, but is not obligated to, monitor, edit, restrict, or remove User Content that it reasonably determines violates these Terms, applicable law, or the rights of others.

18. INTELLECTUAL PROPERTY

All Content appearing on the JCWIN AUTO website, including text, graphics, logos, photographs, images, product descriptions, videos, digital downloads, software, compilations, trademarks, service marks, and other materials, is owned by JCWIN AUTO, its suppliers, licensors, or other applicable rights holders and may be protected by United States and international intellectual property laws.

Except as expressly permitted by us, you may not reproduce, modify, distribute, publicly display, commercially exploit, or otherwise use our Content without prior written authorization.

JCWIN AUTO grants you a limited, revocable, non-exclusive license to access and use the website for personal, lawful, and non-commercial purposes.

We reserve the right to correct errors, inaccuracies, or omissions and to modify or update information or cancel orders where information is inaccurate, including after an order has been submitted.

We are not obligated to update, amend, or clarify information except as required by applicable law.

The presence of an update date or other timestamp does not necessarily mean that all website information has been modified or updated.

22. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SERVICES, CONTENT, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JCWIN AUTO DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

JCWIN AUTO DOES NOT WARRANT PRODUCT FITMENT FOR CUSTOMIZED OR MODIFIED VEHICLES BEYOND ANY EXPRESS FITMENT INFORMATION OR WARRANTY PROVIDED FOR THE SPECIFIC PRODUCT.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot legally be excluded or limited under applicable law.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JCWIN AUTO AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS, LICENSORS, AND OTHER REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, SERVICES, OR PRODUCTS.

Such damages may include, without limitation:

Lost profits;
Lost revenue;
Lost savings;
Loss of data;
Loss of vehicle function;
Cargo damage;
Property damage;
Installation costs;
Removal or reinstallation costs;
Replacement costs; or
Other consequential losses.

To the maximum extent permitted by applicable law, JCWIN AUTO's aggregate liability for any claim arising from or relating to a specific Product shall not exceed the actual purchase price paid by you for that Product giving rise to the claim.

Nothing in these Terms shall exclude or limit liability that cannot legally be excluded or limited under applicable law.

24. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless JCWIN AUTO and its owners, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, suppliers, and representatives from claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising out of or related to:

Your breach of these Terms;
Your violation of applicable law;
Your misuse of Products;
Improper Product installation;
Unauthorized modification of Products;
Your User Content;
Your infringement of third-party rights; or
Your negligent or unlawful conduct.

25. FORCE MAJEURE

JCWIN AUTO shall not be liable for delays or failures in performing its obligations when such delay or failure results from circumstances beyond our reasonable control.

Such circumstances may include, without limitation:

Natural disasters;
Severe weather;
Acts of God;
War or acts of terrorism;
Port congestion;
Supply chain shortages;
Carrier disruptions;
Labor strikes or shortages;
Government restrictions;
Transportation interruptions;
Utility or telecommunications failures; or
Other circumstances beyond our reasonable control.

26. DISPUTE RESOLUTION & GOVERNING LAW

26.1 Governing Law

To the extent permitted by applicable law, these Terms and any separate agreement under which JCWIN AUTO provides Products or Services shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

26.2 Informal Resolution

Before initiating formal legal proceedings, you and JCWIN AUTO agree to attempt to resolve any dispute informally and in good faith.

The party raising a dispute should provide written notice describing the nature of the dispute and the requested resolution.

The parties should allow a reasonable period, generally up to sixty (60) days after written notice, to attempt informal resolution before initiating formal proceedings, unless applicable law requires otherwise.

26.3 Arbitration

To the extent permitted by applicable law, unresolved disputes arising out of or relating to these Terms, the website, Services, or Products shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules.

The arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action, except where such waiver is prohibited or unenforceable under applicable law.

26.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JCWIN AUTO AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

If any portion of this provision is found unenforceable, the remaining provisions shall remain effective to the extent permitted by law.
